User Agreement

This User Agreement (the "Agreement") is a binding contract between you ("User") and Dang Technologies Inc., operating as "ParaPay" (the "Company"). It governs your access to and use of all ParaPay services – including your ParaPay account, digital wallet, card products, swap functionality, and any payment or transfer facilities (collectively, the "Services") – whether accessed through our website at www.parapay.com or our mobile application. By creating an account or using any Service, you confirm that you have read, understood, and agreed to this Agreement in full, including our Privacy Policy, which is incorporated by reference.

Regulatory Status:

ParaPay is registered (MSB:C10001231) in Canada as a Money Services Business ("MSB") with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) and is authorised to provide services including foreign exchange dealing, money transfer, and dealing in virtual currencies. ParaPay complies with the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) and all other applicable Canadian laws and regulations. You agree that your use of the Services will also comply with all applicable laws, including Canadian anti-money laundering and consumer protection laws.

1. Who We Are

ParaPay is a financial technology company incorporated in Canada under the legal name Dang Technologies Inc. We are registered with FINTRAC as a Money Services Business (MSB:C10001231), authorised to provide: foreign exchange dealing, money transfers, and dealing in virtual currencies.

We comply with the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA), Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), and all other applicable Canadian laws and regulations.

2. Eligibility

Individual Users: To be eligible to use the Services, you must be at least 18 years old (or the age of majority in your province/territory of residence) and capable of entering into a legally binding contract. The Services may not be available in all countries or jurisdictions. By agreeing to these terms, you represent that you have not been previously suspended or removed from the Services and that you are not located in, or a citizen of, any country subject to Canadian or other applicable government sanctions or embargoes.

Business/Partner Eligibility: If you are registering on behalf of a business or seek to become a Partner, you must ensure the business is duly organised and in good standing under its laws of incorporation, and holds all necessary licences and regulatory approvals. By entering into this Agreement, you attest that you have authority to bind the business. ParaPay may require proof of your business's existence, good standing, and licensure as part of its due diligence.

3. Account Registration and Verification
3.1 Account Creation:

To access the Services, you must create an Account through our website or mobile app. You will be asked to provide Personal Information including your full name, date of birth, contact information, residential or business address, and government-issued identification. You may also need to provide your citizenship, occupation, purpose of use, source of funds, and other Know Your Customer (KYC) details as required under our anti money laundering (AML) policies.

3.2 Accuracy of Information:

All information you provide must be truthful, accurate, current, and complete. You are responsible for promptly updating your Account information whenever it changes. ParaPay may require you to periodically re-confirm or re-verify your information as part of ongoing compliance.

3.3 Identity Verification:

By registering an Account, you authorise ParaPay to verify your identity through our service providers or other methods. We may request additional steps such as a selfie photograph, live video call, copies of supplementary IDs, or proof of address. Your Account use may be limited until verification is successfully completed.

3.4 Account Types:

ParaPay offers Personal Accounts (for personal, family, or household use) and Business Accounts (for commercial use, subject to ParaPay approval). Personal Accounts are limited to one per individual. You agree not to misuse account types or open multiple accounts without authorisation.

3.5 Account Security:

You are responsible for maintaining the confidentiality of your login credentials and restricting access to your Account. You must immediately notify ParaPay if you suspect any unauthorised access or if your credentials have been lost or stolen. You agree to be responsible for all activities that occur under your Account.

4. Service Use and User Obligations
4.1 Our Services

ParaPay provides the following services through its platform:

  • Digital wallet – hold, send, and receive supported currencies and cryptocurrencies
  • Crypto deposit & withdrawal – move crypto to/from your ParaPay wallet (network gas fees apply on withdrawals)
  • Swap – exchange between supported assets directly within the app (1% fee applies)
  • Virtual card – instantly issued digital card for online purchases worldwide ($10 issuance fee)
  • Physical card – issued card for in-store and ATM use globally ($100 issuance fee)
  • On/Off ramp – convert between fiat and crypto (fees and availability vary by method and currency)
  • Internal transfers – send funds to other ParaPay users instantly and free of charge

ParaPay is not a bank or deposit taking institution; funds held in your ParaPay account are not deposit obligations and are not insured by any government insurer. ParaPay holds user funds in pooled accounts with regulated financial institutions for the benefit of its users.

4.2 Acceptable Use and Prohibited Activities

You agree to use the Services only for lawful purposes and in accordance with this Agreement. It is strictly prohibited to use ParaPay for any illegal, fraudulent, or deceptive activity. By using the Services, you agree that you will NOT:

  • Breach Your Obligations: Use the Services in a manner that violates any law, including laws concerning money laundering, terrorist financing, fraud, anti-corruption, sanctions, or consumer protection.
  • Circumvent or Abuse Systems: Attempt to circumvent security measures, use automated means to access the Service without permission, introduce malware or harmful code, or interfere with the integrity or performance of the Services.
  • Provide False Information: Provide false, inaccurate, or misleading information to ParaPay, misrepresent your identity, create multiple Personal Accounts, or mask your identity via anonymising tools.
  • Engage in Fraud: Use the Services to send or receive fraudulent funds or transactions involving stolen payment instruments, or attempt to defraud ParaPay or other Users.
  • Prohibited Businesses: Use the Service for illegal drugs, weapons, gambling (without approval), pyramid or Ponzi schemes, unlicensed securities, adult content, or any activity identified as high-risk for money laundering or terrorist financing.
  • Resale or Exploitation: Resell or commercially exploit our Services to third parties without ParaPay's prior written consent, or use a personal account to process payments for others.

If ParaPay reasonably believes you have engaged in any restricted activity, we may suspend or terminate your Account, report suspicious activity to relevant authorities, and pursue any legal remedies available.

4.3 Compliance with Laws, AML, and Sanctions

You are solely responsible for ensuring your use of the Service conforms to all applicable laws. You represent and warrant that: (i) you are not located in, or a citizen/resident of, any country subject to trade embargoes or economic sanctions by Canada, the United States, the United Nations, or other applicable sanctions authorities; and (ii) you are not on any prohibited or watch list maintained by any government (including FINTRAC lists or the U.S. OFAC SDN list). If this ceases to be accurate, you must immediately cease using the Services and notify ParaPay.

ParaPay maintains an AML program including customer identification, record-keeping, and ongoing transaction monitoring as required by Canadian law. We may require additional information from you to assist in verification or due diligence. You agree to comply with such requests promptly.

5. Fees and Exchange Rates

All applicable fees are displayed to you before you confirm any transaction. The table below reflects our current retail fee schedule. Fees are non-refundable unless expressly stated otherwise.

Exchange rates are set by ParaPay and updated periodically. The applicable rate will always be shown before you confirm a transaction. ParaPay reserves the right to modify its fees at any time, providing notice via the website, app, or email. Continued use of the Services after a fee change constitutes acceptance of the new fees.

6. Managing Your Funds and Transactions
6.1 Funding Your Account

You may hold a balance in your ParaPay account (stored value in a digital wallet) or use ParaPay as a pass-through for sending money. If you hold a balance, it represents an unsecured claim against ParaPay equal to the amount stored. ParaPay holds such funds separate from its corporate funds in accounts at regulated financial institutions. You will not receive interest on funds held with ParaPay.

To add money ("top-up"), you must use a supported funding method such as a bank transfer, debit or credit card, or other approved payment instrument. All funds added must originate from an account or card in your name. ParaPay reserves the right to set minimum or maximum top-up amounts and to impose limits on how often you can add funds.

6.2 Sending Money

To send a payment, provide a valid instruction through our app or website, including the amount, currency, and recipient details. Before finalising, we will show you a summary including the exchange rate (if currency conversion is involved), any fees, and the estimated delivery timeframe. By confirming the payment, you authorise ParaPay to execute the transaction.

No Changes Once Sent: It is very important that you input the correct details for your recipient. ParaPay is not responsible for errors in your instruction. Once a transaction is submitted and in process, you generally cannot cancel or amend it. Always double-check the recipient's name, account number, and other identifying details.

Transaction Limits: ParaPay may impose limits on the amount you can send per transaction, per day, or per month, which may vary based on your verification status, the jurisdictions involved, and regulatory requirements.

6.3 Receiving Funds

Funds received through ParaPay will be credited to your account balance or made available for withdrawal according to the service options. If a payment into your account is later reversed or disputed by the sender or their bank, you will owe ParaPay for the amount of that payment. Only accept payments from people you trust.

6.4 Withdrawals

If you have a positive balance, you may withdraw funds to your linked bank account, card, or virtual currency wallet, subject to applicable limits. Withdrawals must be made to an account in your name. ParaPay may delay or review any withdrawal for risk purposes and may charge a fee on withdrawals, which will be disclosed at the time of request.

6.5 Transaction Holds and Disputes

ParaPay reserves the right to review and/or place a hold on any transaction that appears high risk or suspicious. If a payment is under investigation, it will show as pending and will not complete until cleared. For normal transaction holds, our policy is generally to release held payments after 21 days unless a dispute arises.

ParaPay may implement a reserve on your Account if we believe there is a high level of risk associated with your activities. A reserve is a percentage or fixed amount of your incoming payments that must be kept in your balance and unavailable for withdrawal for a specified period. We will send you notice if a reserve is applied.

7. Identity Verification (KYC / AML)

As a regulated MSB, ParaPay is required by Canadian law to verify the identity of its users. This Know Your Customer (KYC) process may require you to provide:

  • Government-issued photo ID (passport, driver's licence)
  • Proof of address (utility bill, bank statement)
  • Date of birth and contact information
  • Source of funds (for higher value transactions)
  • Business registration documents (for Business Accounts)

Failure to complete verification may result in limited account functionality or suspension. We are required to file reports with FINTRAC for certain large or suspicious transactions and to retain records as required by law. Your identity information is handled in accordance with our Privacy Policy and PIPEDA, and is never sold to third parties.

8. Privacy and Your Data

ParaPay's collection, use, and disclosure of Personal Information is governed by our Privacy Policy, available at www.parapay.com and incorporated into this Agreement by reference. By agreeing to these terms, you also consent to the practices described in the Privacy Policy.

In summary:

  • We collect only what is necessary to provide the Services and comply with legal obligations
  • Your data is never sold to third parties
  • You may request access to, correction of, or deletion of your personal information
  • We use industry standard encryption and security controls
  • We comply with PIPEDA and applicable provincial privacy legislation

9. Account and Data Security

You are responsible for maintaining the security of your ParaPay account and personal devices. This includes keeping your password and authentication methods confidential. ParaPay will never ask you for your password via phone or email. If you suspect your Account has been compromised, contact ParaPay immediately.

ParaPay implements its own security measures including encryption of sensitive data in transit, secure tokenisation of card data, and compliance with PCI DSS for payment data. While we follow industry best practices, no system is foolproof. We strongly recommend enabling multi-factor authentication (MFA) where available.

10. Limitation of Liability

To the fullest extent permitted by law, neither ParaPay nor you will be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with this Agreement or the Services. This exclusion applies regardless of the legal theory of liability, even if a party has been advised of the possibility of such damages.

Liability Cap: Except as required by consumer protection laws, the total cumulative liability of ParaPay to any User for all claims shall not exceed the amount of fees the User paid to ParaPay in the 12 months preceding the incident giving rise to liability.

ParaPay is not liable for:

  • Losses arising from your failure to keep account credentials secure
  • Service interruptions caused by third-party networks, payment rails, or force majeure events
  • Actions or failures of Beneficiary Institutions or Payout Channels outside our control
  • Network gas fees or blockchain congestion costs
  • Errors in your payment instructions, including sending to the wrong recipient

Note: Nothing in this Agreement limits our liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

11. Disclaimer of Warranties

Except as expressly set forth in this Agreement, the Services are provided "AS IS" and "AS AVAILABLE" without any representation or warranty, whether express, implied, or statutory. ParaPay specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will meet your requirements, that access will be uninterrupted or error-free, that transfers will arrive by a certain time, or that the Services will be compatible with all devices. You use ParaPay at your own risk.

12. Account Suspension and Termination
12.1 Termination by You

You may close your ParaPay account at any time by contacting ParaPay support via email or through the app and requesting account closure. We may require verification of your identity before closing. Any remaining balance will be returned to you, subject to pending transactions and applicable law. Note that simply uninstalling the app does not close your account.

12.2 Suspension or Termination by ParaPay

ParaPay may suspend, restrict, or terminate your account with or without prior notice if:

  • You are in material breach of this Agreement
  • We are required to do so by law or a Regulatory Authority
  • We detect suspicious, fraudulent, or potentially illegal activity
  • You fail to complete required identity verification
  • Your account has been inactive for an extended period

Where possible, we will notify you of the reason for suspension. Upon termination, you must cease using the Services. Any pending transactions may be cancelled. Termination does not relieve you of obligations incurred prior to termination.

13. Disputes and Governing Law
13.1 Dispute Resolution

If you have a dispute with ParaPay, please contact our customer support first and we will attempt to resolve the issue amicably. You can reach us by emailing support@parapay.com or via the app's support chat. We aim to respond within 2 business days and resolve within 15 business days.

13.2 Governing Law

This Agreement, and any dispute or claim arising out of or in connection with it, shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. You agree that any legal actions or proceedings shall be brought exclusively in the courts of the Province of British Columbia.

13.3 Arbitration

Any controversy, claim, or dispute arising out of or relating to this Agreement shall be settled by binding arbitration administered by the Vancouver International Arbitration Centre (VanIAC) in accordance with its applicable rules. The arbitration shall take place in Vancouver, British Columbia, and proceedings shall be conducted in English. Each Party shall bear its own legal fees, and the Parties shall share equally the fees of the arbitrator.

13.4 Class Action Waiver

To the maximum extent allowed by law, you agree that you will not bring claims against ParaPay as a plaintiff or class member in any purported class or representative action. Disputes will be resolved only on an individual basis.

14. Changes to This Agreement

ParaPay may update this Agreement by posting a revised version on our website or providing notice via email or the app. The revised version will state the "Last Updated" date. If you continue to use the Services after the effective date, you are deemed to have accepted the revised terms. If you do not agree, you must stop using the Services and may close your account before the changes take effect. We will provide at least 30 days' notice before material changes take effect.

15. General Provisions

Entire Agreement: This Agreement (including any Schedules and documents incorporated by reference, such as the Privacy Policy) constitutes the entire agreement between you and ParaPay with respect to the Services, and supersedes all prior communications and proposals.

Severability: If any provision of this Agreement is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Assignment: You may not assign or transfer any rights or obligations under this Agreement without ParaPay's prior written consent. ParaPay reserves the right to assign this Agreement in connection with a merger, acquisition, or sale of assets.

Relationship of Parties: The Parties are independent contractors. Nothing in this Agreement creates a joint venture, partnership, employment, or agency relationship.

Force Majeure: Neither ParaPay nor you will be liable for delays or failures in performance caused by events outside the affected party's reasonable control, including natural disasters, acts of war, governmental actions, pandemic outbreaks, power or internet outages, or other unforeseeable circumstances.

Notices: ParaPay may provide notices by posting on our website, sending via email to the address on your account, or through in-app notification. Notices to ParaPay may be sent to legal@parapay.com or via our website contact form.

Electronic Signatures: This Agreement and any other agreements between us may be provided electronically. Electronic records and signatures have the same force and effect as hand-written signatures.

Language: It is the express wish of the parties that this Agreement be drawn up in English. If translated into another language, the English version shall govern to the extent of any inconsistency.
